What it does

This skill teaches an AI agent to work through a deal's virtual data room (VDR) of documents, the online folders used in M&A due diligence. It maps folders to a request list, filters for material documents using the firm's thresholds, and checks each document against standard concerns such as change-of-control clauses, assignment limits, IP ownership gaps, and litigation. Findings are written in the house memo format, with legal citations tagged by source so reviewers can see what needs verification.
