How to use the Board Written Consent Drafter agent skill

Updated · written with AI from the project's own documentation and checked against our catalogue data

The written-consent skill is an agent skill that lets an AI assistant draft a unanimous written consent, the document a company's board or committee signs to approve something without holding a meeting. This guide is for in-house legal teams, company secretaries and lawyers who want a first draft based on existing house precedents. By the end you will know what the skill does, how to install it, how to trigger it with a plain request, and where its limits are.

Quick start

  1. 1Download and unzip. Download the skill ZIP from this page and unzip it so that SKILL.md sits in a skills folder.
  2. 2Place the folder. Move the folder to ~/.claude/skills/ for personal use, or to .claude/skills/ in a project.
  3. 3Configure Board & Secretary. Add the consents repository, house resolution language, state of incorporation and board composition to the Board & Secretary section of your practice-level CLAUDE.md, or upload seed consents.
  4. 4Make a request. Describe the action in plain language, for example an officer appointment or equity grant, using a phrase like written consent or UWC.
  5. 5Answer any prompts. If the action is flagged as major, respond to the outside counsel warning and choose a path before drafting continues.
  6. 6Review the draft. Check the consent draft, signatory checklist and review prompts against the precedent and the company's documents.

What the skill makes the agent do

When you ask for a board consent, the skill loads your practice-level configuration, identifies the action and classifies it as routine or review-flag. It then searches your consents repository for the closest prior consent, or uses seed consent documents if no repository is configured, and drafts the new consent in your house format using that precedent as the base.

The output has three parts: the consent draft, a signatory checklist and review prompts. The skill also handles multi-resolution consents, director conflict flags, state-law notice requirements and signatory tracking. Routine actions such as officer appointments, equity grants, bank authorizations and contract approvals above the officer threshold are the intended use.

  • Consent draft in house format, adapted from the closest precedent
  • Signatory checklist
  • Review prompts for the reviewing lawyer
  • Warning for major one-off actions such as M&A, financings or dissolutions

Install the skill from the ZIP

Download the ZIP for this skill from this page and unzip it. The package contains a single file, SKILL.md. Place the unzipped folder in one of two locations: ~/.claude/skills/ to make it available across your projects, or a project's .claude/skills/ folder to limit it to that project.

If you use the Claude apps instead of Claude Code, you can upload the skill under Settings → Capabilities → Skills.

  • Personal install: ~/.claude/skills/
  • Project install: .claude/skills/ inside the project folder
  • Claude apps: Settings → Capabilities → Skills

Set up your practice configuration before first use

The skill reads a practice-level configuration file at ~/.claude/plugins/config/claude-for-legal/corporate-legal/CLAUDE.md, specifically a Board & Secretary section. That section should cover the consents repository location, your house resolution language, the state of incorporation (used for notice requirements), board composition (used for the signatory list) and any limits on written consents.

If you have no consents repository, you can instead upload seed consent documents. The skill needs one or the other. Without either, it stops before drafting and asks you to provide a prior consent so it can match your format.

  • Required: Claude Code or a compatible SKILL.md agent
  • Required: a Board & Secretary section in the practice-level CLAUDE.md, or uploaded seed consent documents

Trigger the skill with natural requests

You do not need a special command. The skill activates on phrases such as "written consent", "unanimous consent", "board consent", "consent in lieu", "UWC", or a plain description of an action that needs board approval without a meeting. You can also invoke it directly with /written-consent and describe the action as the argument.

Be specific about the action, the people involved and the approval needed. The more detail you give, the closer the precedent match will be.

  • "Draft a unanimous written consent appointing Jane Doe as Assistant Secretary."
  • "Board consent approving an equity grant of 10,000 options to a new engineering hire."
  • "Prepare a UWC authorising the CFO to add an account signatory at our main bank."
  • /written-consent approve annual bank resolutions for the operating account
/written-consent [describe the action needing board approval]

Understand the major-action stop

The skill treats major one-off actions differently. If the action is an M&A transaction, financing, dissolution, capital structure change, change-of-control provision, director election tied to a financing or M&A, or material real estate transaction, it is flagged for outside counsel review.

If you also ask for the consent to be signed the same day, the skill stops and will not mark the draft ready to sign. You then choose one of two paths: have outside counsel review the draft before signatures, or confirm that outside counsel is already engaged on the deal and has cleared the draft path. The skill will still draft the document in either case.

  • Routine consent: normal flow, no hard stop
  • Major one-off without same-day signature request: flagged, not blocked
  • Major one-off with same-day signature request: hard stop until you choose a path

Review the output before anyone signs

Treat the output as a first draft for a lawyer to review. The skill notes that state-law notice and governance requirements must be verified against the company's actual documents. Use the signatory checklist to confirm who must sign and use the review prompts to check the recitals, resolutions and authorisations against the precedent.

  • Check the state-law notice requirements against the company's documents
  • Confirm board composition and every required signatory
  • Read the director conflict flags, if any, before circulation
  • Confirm the resolution language matches house style

What people use it for

  • Appointing an officer or assistant secretary using the house precedent for officer appointments
  • Approving an equity grant to an employee with the signatory list taken from board composition
  • Authorising bank account signatories or annual banking resolutions
  • Approving a contract above the officer threshold using a prior approval as the base
  • Preparing a first-draft consent for a lawyer to review and finalise

Frequently asked questions

How do I install the written-consent agent skill?

Download the ZIP from this page and unzip it. Place the folder in ~/.claude/skills/ for personal use or in a project's .claude/skills/ folder. In the Claude apps, you can instead upload it under Settings → Capabilities → Skills.

What do I need to use the written-consent skill?

You need Claude Code or a compatible SKILL.md agent, plus either a practice-level CLAUDE.md with a Board & Secretary section at ~/.claude/plugins/config/claude-for-legal/corporate-legal/ or uploaded seed consent documents. Without a precedent, the skill stops before drafting.

Is the written-consent skill free?

The source does not state pricing or licence fees for the skill. It is published under the Apache-2.0 licence as part of the anthropics/claude-for-legal repository, so check that licence for its terms.

Does the skill run scripts or use the internet?

According to the listing, it runs no scripts and uses no network access. It works from the SKILL.md file and your local configuration and documents.

Can I use this for an acquisition or financing?

The skill can draft these, but it flags them as major one-off actions and recommends outside counsel review. If you ask for same-day signature, it will not mark the draft ready to sign until you choose to have outside counsel review it or confirm counsel has already cleared the draft path.

Can a non-lawyer rely on the output as legal advice?

No. The listing says the output is not for anyone without legal training to treat as final legal advice, because state-law notice and governance requirements must be checked against the company's actual documents.

Our verdict

This skill suits in-house legal teams and company secretaries who prepare routine board approvals and already have house precedents. Lawyers get a useful first draft to review, but it is not a substitute for checking requirements or for outside counsel on major one-off transactions. If you need a tool for major deals, or you have no precedent or legal training to review the output, choose a different approach.
